Areas of Practice
The Firm specialises in the fields of corporate, company, conveyancing, bank securities, real estate developments, conservation and tourism, employment, aviation, private client (wills, probate, trust law and offshore tax planning), securities and commercial law. It also advises on joint ventures and mergers, the formation, registration and maintenance of legal entities in Kenya and related matters. This includes the establishment of business organisations, the registration and structuring of the same, guidance on relevant laws, including immigration law, labour and taxation (although in Kenya this is usually done by accountants).
Over the years, the partners and consultant of the Firm have developed a significant practice representing a broad spectrum of clients and their legal needs, including multi-national and local corporations, international and local banks, Embassies, various business organisations and individuals in their commercial and property transactions. The Firm has come to specialise in the niche market of owner entrepreneur companies with the establishment of the business at inception, assisting with its growth and ultimately in some cases with disposal and exit strategies.
The Firm also advises on privatisation, transfers of ownership of local interests, disposal of foreign assets and investment and project financing. The Firm has advised on mergers in the banking industry and played a central role in the sale of one of the largest insurance companies in Kenya. This involved engineering and coordinating the allocation of shares and relevant insurance portfolios among various parties to the transaction, ensuring that the integrity of the company, tenure of its staff, and rights of the policyholders were upheld at all times. The Firm liaised with both local and international corporations and legal firms in order to provide general advice, legal opinions and to prepare numerous contracts required to complete the transaction.
The Firm has also been involved in advising and providing the structuring documentation for its international clients in the telecommunications sector.
The Firm has been heavily involved in advising the flower and horticultural industries over the last decade in particular with foreign investment into this country and methods to acquire land and the corporate structures required. This has led to joint ventures between Kenyan and overseas investors and the protecting and balancing of the respective interests.
In recent years the Firm has been called upon to assist in preserving large areas on natural beauty and wildlife and to formulate innovative solutions to cater for both the wildlife and local communities in such places as the Maasai Mara and Tana Delta while applying socially responsible commercialism. This personal service and interest in the success of our clients' businesses has led some clients to comment that the tailoring of the documents is akin to the experience of having a bespoke suit made.
